PART A: TERMS AND CONDITIONS (ENGLISH)

1. Introduction and Acceptance

Welcome to The Pak Clicktes (Pvt) ("Company", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, software products, custom development, web/mobile applications, API integrations, and digital consultancy services ("Services"). By engaging our services, signing a contract, or using our platforms, you agree to be bound by these Terms in full.

2. Scope of Services

• The Company provides software engineering, web and mobile app development, UI/UX design, cloud architecture, system integration, and IT support services.
• Specific project requirements, milestones, pricing, and deadlines shall be defined in a dedicated Statement of Work (SOW) or Project Agreement.
• Any changes requested beyond the agreed SOW scope shall be treated as Change Requests (CR) and billed separately.

3. Client Obligations & Cooperation

• Accurate Information: Clients must provide complete, accurate, and timely specifications, credentials, and digital assets necessary for project execution.
• Timely Reviews: The Client agrees to review deliverables and provide feedback within five (5) business days of delivery.
• Lawful Use: Clients agree not to use our software solutions for any unlawful, defamatory, infringing, or malicious activities.

4. Intellectual Property Rights (IPR)

• Custom Deliverables: Upon receipt of full and final payment, all custom source code, documentation, and tailored designs created solely for the Client shall be assigned to the Client.
• Company Proprietary IP: The Company retains all proprietary rights, copyright, and ownership over pre-existing code, generic libraries, frameworks, developer tools, algorithms, and architectural components developed prior to or independently of the project.

5. Payments, Invoices & Refund Policy

• Payment Milestones: Invoices are issued based on agreed milestones (e.g., Advance Deposit, UAT / Beta Release, and Final Production Handover).
• Payment Terms: Invoices must be cleared within seven (7) to fourteen (14) calendar days of issuance. Late payments may result in suspension of services or milestone delivery delays.
• Refunds: Deposits and payments for milestones that have already been commenced, delivered, or approved by the Client are strictly non-refundable due to allocated engineering resources.

6. Warranties & Bug Fixing Period

• We provide a complimentary warranty period of thirty (30) days following final deployment to rectify reproducible functional bugs that deviate from the agreed specifications.
• Warranty does not cover issues arising from third-party hosting failures, client modifications to the source code, browser/OS version deprecation, or external API changes.

7. Limitation of Liability

• To the maximum extent permitted by applicable law, The Pak Clicktes (Pvt) shall not be liable for any indirect, incidental, punitive, or consequential damages, loss of profits, data corruption, or business interruption.
• Our aggregate liability under any claim arising out of our services shall be strictly limited to the amount actually paid by the Client to the Company for the specific service under dispute.

8. Termination

• Either party may terminate a project agreement upon fourteen (14) days written notice if the other party breaches a material term and fails to cure it.
• Upon termination, the Client shall immediately compensate the Company for all work performed and expenses incurred up to the date of termination.

9. Governing Law and Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
• Any controversy or dispute shall first be settled amicably through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Pakistan.
